Terms and Conditions

Terms and Conditions 1. Independent Contractor Status Freelancer acts as an independent contractor and not as an employee of the Hiring Attorney or Law Firm. The Hiring Attorney retains ultimate professional responsibility for the client's matter and shall supervise all work performed by the Freelancer. Nothing in this Agreement shall be construed to create an employer-employee, partnership, or joint venture relationship. 2. Flat Rate Compensation & Scope of Work In consideration for the specific legal support services rendered by the Freelancer, the Hiring Attorney agrees to pay a flat fee determined by the signed contract for the completion of all assigned agreements. The Freelancer will devote such time to the representation as is necessary to complete the described services, but the Freelancer's fee will not be increased or decreased based upon the number of hours actually spent on the project. 3. Invoicing and Payment Terms Payment is due upon receipt of the invoice. If payment is not received within thirty (30) days from the original due date, an additional late fee of $100.00 will be assessed for each subsequent thirty (30) day period that the invoice remains unpaid. 4. Reimbursable Costs and Expenses Except as otherwise explicitly agreed upon in writing, out-of-pocket expenses such as courier services, long-distance calls, filing fees, or extensive photocopying are not included in the Flat Fee. The Hiring Attorney agrees to reimburse the Freelancer for any approved, actual out-of-pocket expenses incurred on their behalf, provided the Freelancer submits an itemized receipt for such costs. 5. Confidentiality and Data Security Freelancer acknowledges that all materials, work products, and client information are confidential. Freelancer shall comply with the Georgia Rules of Professional Conduct, particularly regarding the preservation of client confidences and secrets. Freelancer agrees not to disclose or use any confidential information for the benefit of any third party without the Hiring Attorney's prior written consent. Upon termination of this Agreement, Freelancer shall promptly return or destroy all confidential data in accordance with Hiring Attorney directives. 6. Term and Termination The term of this Agreement shall commence on the date the agreement is signed and shall continue until the completion of the Services or until terminated by either party. Either party may terminate this Agreement for convenience upon thirty (30) days written notice to the other party. Upon termination, Freelancer shall be entitled to retain the non-refundable deposit for work completed and shall promptly deliver all work products and materials up to the effective date of termination.
